First, distinguish three roles: employees, contractors and payment platforms
The legal basis differs between an enterprise paying wages to employees and settling contractual fees with independent service providers. The determination should not rest solely on whether the contract describes the person as a "consultant" or whether the payment reference states "service fee"; rather, the work arrangement and the applicable local classification criteria should be verified. A payment platform generally need not make all employment determinations on behalf of its customers, but it should at least require customers to state the nature of the payment, so as to avoid designing a payroll product as a bulk transfer tool without payee classification.
The platform's own business should also be broken down: does it merely execute payments on instruction, or does it calculate wages, withhold taxes, hold balances in custody, or even contract as an employer of record? The latter arrangements may change the scope of liability. Deliverables should be set out in quotations and contracts, and a single label of "global payroll" must not cover matters for which no one is in fact responsible.
A payee's willingness to receive tokens does not mean the wage obligation has been performed
Taking Singapore as an example, the Ministry of Manpower imposes requirements on the manner and timing of wage payment and on wage records, and its guidance on payment of wages in kind emphasizes that legal currency should be used. Accordingly, it should not be asserted, merely because an employee clicks to consent, that stablecoins can directly replace statutory wage payments. Different categories of employees, components of remuneration and arrangements still require specific review.
Where an employer lawfully pays wages into an employee's bank account and the employee subsequently purchases stablecoins on their own, that is a different process from the employer sending tokens directly to a wallet and asserting that wages have been settled. For independent contractors, local contract, payment and tax rules should be examined separately; the conclusions reached for employee wages cannot be mechanically applied to all service fees.
On-chain receipt does not automatically address taxes and supporting documentation
HMRC guidance in the United Kingdom on tokens provided by third parties as employment income indicates that this method may still give rise to income tax and National Insurance obligations and involves employer PAYE processing. This example shows that changing the asset in which remuneration is delivered does not remove that remuneration from the tax system, and the specific tax liability cannot be determined solely by reference to the token symbol.
Product design should include fields for fiat denomination, valuation point, allocation of taxes and fees, transaction charges and proof of receipt. If a net amount received is agreed, it should also be clear who makes up any shortfall after exchange-rate fluctuations or deductions; if the commitment is merely to execute customer instructions, the product should not be marketed as having resolved all local employment and tax compliance matters.
Verify country by country rather than launching global payroll all at once
It is advisable first to select the confirmed places of employment and places of receipt, verify the methods of receipt and the service permissions of the payment platform, and then configure contracts, payslips or invoices, necessary tax information and procedures for exceptional supplementary payments. Where personnel information is shared, the purposes and scope of data access by each party should also be limited. Initial testing should verify when the payee can actually use the funds, rather than merely confirming that the wallet address received tokens.
Recommended actions
- Establish two separate lists—one for employees and one for contractors—based on the place of employment and the place of receipt of payment.
- Verify the payment methods permitted for the statutory wage component, bonuses, and service fees respectively.
- Clarify the calculation, withholding, and supplementary payment responsibilities of the employer, payroll service provider, and payment institution.
- Design fields for fiat currency valuation, receipt of funds, and tax documentation, and test exceptional supplementary payments.
