cross-border finance and crypto paymentswhether the business can be carried out

Asset ownership and the nature of the business are two separate issues

Who owns the assets before a transaction is a question of asset attribution; whether a company provides financial services to external customers is a question of regulatory characterization. Suppose a company purchases stablecoins in advance as inventory and delivers them after a customer places an order; the fact that it is "selling inventory" does not by itself exclude regulation. Conversely, an ordinary enterprise occasionally disposing of assets to pay its own expenses and a business continuously operating exchange as a customer-acquisition product must be analyzed separately and cannot be covered by the same conclusion. The fact that a company bears inventory price fluctuations does not automatically turn a transaction into an ordinary investment; the key remains whether this transactional capability is offered as a continuous service to customers. External quotation records and customer contracts can both help reconstruct the facts.

Official rules do not regulate only buying and selling on behalf of clients

Article 3 of the EU's MiCA defines exchange services for buying and selling crypto assets with customers using own capital, which shows that proprietary inventory and operational exchange can coexist. The U.S. FinCEN also distinguishes individuals or enterprises acting as users for their own payments and investments from those conducting business as exchange operators; an interpretation limited to investing for one's own account cannot be expanded into a blanket exemption for providing over-the-counter exchange to customers. These are determinations under their respective regimes, not a globally uniform licensing rule.

Where customer funds go adds further issues

Suppose a customer, after selling coins, asks for fiat currency to be paid to its own corporate account, versus asking for payment to multiple suppliers; these are two different delivery methods. The latter may no longer merely complete a bilateral sale but may also involve transferring value on the customer's behalf. Allowing customers to retain balances over the long term, withdraw in installments, or offset receipts and payments among different customers should also be analyzed separately; writing a contract as an asset sale cannot automatically eliminate actual custody and payment functions.

Only by assembling the complete transaction facts can the threshold be assessed

It is advisable to compile the frequency of quotations, external marketing methods, number of customers, sources of funds, and the sequence of execution and delivery, and to explain whether third-party payments and receipts are permitted. The assessment cannot rest solely on the amount being small or the absence of service fees. After completing the jurisdictional analysis, decide whether to merely manage the company's own assets or to establish access, customer due diligence, quotation and abnormal-transaction systems as an exchange business; operational exchange in mainland China must still be separately assessed under the current prohibitory provisions.

Recommended actions

  1. Prepare separate processes for proprietary asset management and customer-facing exchange, and avoid mixing accounts and external statements.
  2. Check whether customers can require third-party receipt, balance retention, or delivery split across multiple transactions.
  3. Confirm the exchange definition and exceptions in the market you intend to serve, and do not substitute "proprietary trading" or "spread" for legal analysis.
