Overseas companies do not automatically obtain EU cross-border operating rights

MiCA's EU cross-border notification facilitation is built on entities that meet its access requirements; a US MSB or offshore VASP registration cannot be converted into equivalent rights. For the general CASP application route, Article 59 requires, among other conditions, an EU registered office and effective management. Non-EU teams may assess establishing a local operating entity or allocating functions with an authorized institution, but an EU shell alone cannot take orders while all regulated services continue to be directly promised and delivered by an unauthorized overseas company.

"The client approached us on its own initiative" depends on whether solicitation occurred earlier

The core of MiCA Article 61 is that the client requests the service entirely on its own initiative. Where the company, its affiliates, or persons acting on its behalf have previously promoted to EU clients, contractual terms cannot be used to recast that relationship as client-initiated. ESMA guidance interprets solicitation broadly and in a technology-neutral manner; advertising, emails, social platforms, referral activities, and sponsorships may all be relevant. The fact that a website can be accessed from the EU does not mean every access necessarily constitutes a violation, but the absence of an EU flag on the website does not by itself establish that no solicitation exists.

A checkbox cannot change the actual facts of client acquisition

Suppose a platform buys advertising targeting French companies and pays local promotion partners commission based on successful account openings, and the client ultimately clicks to register on its own and checks "I am contacting you on my own initiative." Such a declaration will not eliminate prior solicitation. Conversely, where a client genuinely approaches the platform on its own initiative without solicitation and requests specific services, the platform still needs to record the client's source, the communication process, and the scope of services. Article 61 does not permit the company to continue actively marketing new types of crypto assets or services on that basis; the exception is not an unlimited sales license for that client.

Ongoing operations should have a repeatable, verifiable structure

It is advisable to treat the EU market as a separate product region: who signs clients, which services are authorized, which promotions may be conducted, and where client assets are handled must all be determined before launch. When cooperating with an EU CASP, verify whether its licensed activities cover the actual delivery, rather than assuming that all of the platform's actions are covered once the client is introduced to a licensed party. If not entering the EU for the time being, sales policies, geographic restrictions, and client onboarding should be kept consistent, and arrangements should address clients relocating or changing their business location.

Recommended actions

  1. Review advertising placements, agent commissions, event sponsorships, and affiliate promotions, and maintain traceable records of EU client acquisition.
  2. Where intending to rely on the client-initiated exception, preserve the facts case by case; do not substitute a uniform declaration for legal judgment.
  3. Before continuing EU business, determine the authorized entity, the contracting entity, and the specific service boundaries, and verify the counterparty's license.
  4. Re-examine new features, currencies and subsequent marketing to avoid expanding a one-off proactive request into a long-term exemption.
